Terms of Service

By accessing, browsing, or using the Nhu Le Creator CRM platform (the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations.

If you do not agree to these Terms, you are not authorized to use the Platform. Your continued use of the Platform following the posting of any changes to these Terms constitutes your acceptance of those changes.

These Terms constitute a legally binding agreement between you ("User") and Comercii ("we," "us," or "our"), the operator of this Platform.

Nhu Le Creator CRM is a creator relationship management platform that provides the following services:

• Social Media Analytics Dashboard: Aggregated performance metrics and insights from connected social media accounts including TikTok, YouTube, Instagram, and Facebook.
• Content Scheduling & Management: Tools to plan, schedule, and track content across multiple platforms from a unified interface.
• AI-Powered Suggestions: Intelligent content recommendations, caption generation, and performance insights powered by artificial intelligence.
• Brand Deal CRM: A pipeline management tool for tracking sponsorships, collaborations, and brand partnership opportunities.
• Media Kit Generation: Automated creation of professional media kits and audience reports for brand outreach.
• Email Notifications: Transactional and digest emails related to platform activity and content performance.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

To access certain features of the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during the registration process and maintain the accuracy of such information.
• Maintain the security and confidentiality of your login credentials and not share them with any third party.
• Notify us immediately of any unauthorized use of your account or any other breach of security at ngocnhule96@gmail.com.
• Accept responsibility for all activities that occur under your account, whether or not you authorized them.

We reserve the right to disable any account at our sole discretion if we believe you have violated these Terms or if we suspect unauthorized or fraudulent use of your account.

The Platform integrates with third-party social media platforms via OAuth 2.0 to retrieve content and analytics data on your behalf. By connecting your social media accounts, you authorize us to:

• TikTok: Access your public profile information, video performance metrics, follower data, and engagement analytics via the TikTok Content Posting API and Research API, subject to TikTok's API Terms of Service.
• YouTube: Access your channel statistics, video performance data, comments, and monetization metrics via the YouTube Data API v3, subject to Google's API Services User Data Policy.
• Instagram: Access your professional account insights, post performance, and audience demographics via the Instagram Graph API, subject to Meta's Platform Terms.
• Facebook: Access your page insights, post reach, and engagement data via the Facebook Graph API, subject to Meta's Platform Terms.

Data collected from these APIs is used solely to provide the Platform's functionality to you. We do not sell, rent, or share your social media data with third parties except as required to operate the Service (e.g., AI processing, email delivery). All data handling is governed by our Privacy Policy.

You may revoke the Platform's access to any connected account at any time through the respective platform's settings or through your Platform account settings. Revoking access will remove your ability to use features that depend on that integration.

By using the Platform, you agree that you will:

• Provide accurate and truthful information in all interactions with the Platform, including account registration and brand deal records.
• Use the Platform only for lawful purposes and in compliance with all applicable local, provincial, national, and international laws and regulations.
• Comply with the terms of service and community guidelines of all third-party platforms integrated with this service (TikTok, YouTube, Instagram, Facebook, and others).
• Not use API data retrieved through the Platform in ways that violate the developer policies of the originating platforms, including but not limited to unauthorized data storage, redistribution, or commercial resale of raw API data.
• Not attempt to reverse engineer, decompile, or otherwise derive the source code of the Platform.
• Not use any automated tools, bots, or scripts to access the Platform in ways not expressly authorized.
• Not upload, transmit, or distribute any content that is unlawful, defamatory, abusive, obscene, or otherwise objectionable.
• Not impersonate any person or entity or falsely represent your affiliation with any person or entity.

Violation of these responsibilities may result in immediate suspension or termination of your account without notice or refund.

Your Content: You retain full ownership of all content you create and publish on third-party platforms. Connecting your social media accounts to the Platform does not transfer any intellectual property rights to Comercii. We access your content data solely to provide analytics, scheduling, and reporting features as described in these Terms.

Platform Ownership: The Platform, including its design, software, algorithms, code, features, and all associated intellectual property, is owned by Comercii and protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works based on the Platform without our express written consent.

Feedback: If you submit feedback, suggestions, or ideas about the Platform, you grant Comercii a non-exclusive, royalty-free, perpetual, and irrevocable license to use such feedback for any purpose, including improving the Platform, without any obligation to compensate you.

Trademarks: "Comercii" and the Nhu Le Creator CRM name and logo are trademarks of Comercii. You may not use these marks without our prior written permission.

The Platform integrates with and relies upon the following third-party services. Your use of the Platform is subject to the terms and policies of these services:

• TikTok (ByteDance Ltd.): TikTok API integration for content analytics and posting. Subject to TikTok's Terms of Service.
• Google LLC (YouTube): YouTube Data API for channel analytics and video performance. Subject to Google's Terms of Service and the YouTube API Services User Data Policy.
• Meta Platforms, Inc. (Instagram & Facebook): Instagram Graph API and Facebook Graph API for social media analytics. Subject to Meta's Terms of Service.
• Anthropic, PBC: AI-powered features including content suggestions, caption generation, and performance insights are powered by Anthropic's Claude AI models. Data submitted to AI features may be processed by Anthropic subject to their usage policies.
• Resend: Transactional email delivery for notifications, digests, and account communications. Subject to Resend's Terms of Service.
• Paddle.com Market Ltd.: Billing and subscription management for paid platform features. Paddle acts as Merchant of Record for all transactions. Subject to Paddle's Terms of Service.

We are not responsible for the practices, policies, or content of any third-party services. We encourage you to review the terms of service and privacy policies of all third-party services you interact with through the Platform.

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.

To the maximum extent permitted by applicable law, Comercii and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses.
• Any interruption, suspension, or termination of the Platform, or any loss of data resulting therefrom.
• Any unauthorized access to or use of your account or personal data.
• Any bugs, viruses, or other harmful code that may be transmitted through the Platform.
• Any changes to or removal of features, content, or functionality of the Platform.
• Any inaccuracies in analytics data retrieved from third-party social media APIs.

In no event shall Comercii's total aggregate liability to you exceed the greater of (a) the total fees you paid to Comercii in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain types of damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Termination by You: You may terminate your account at any time by contacting us at ngocnhule96@gmail.com or through your account settings. Upon termination, your right to use the Platform will immediately cease.

Termination by Us: We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice, including but not limited to:

• Violation of these Terms or any applicable law.
• Suspected fraudulent, abusive, or illegal activity.
• Failure to pay applicable subscription fees.
• Extended inactivity, as determined at our sole discretion.
• Technical or security reasons.

Effect of Termination: Upon termination, we may delete your account data in accordance with our data retention policies described in our Privacy Policy. Sections of these Terms that by their nature should survive termination shall continue to apply, including sections on Intellectual Property, Limitation of Liability, and Governing Law.

We reserve the right to modify these Terms at any time. When we make changes, we will:

• Update the "Last updated" date at the top of this page.
• Provide notice of material changes via email to the address associated with your account, or through a prominent notice on the Platform.

Your continued use of the Platform after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and may terminate your account.

We encourage you to review these Terms periodically to stay informed about our current practices. The current version of these Terms is always available at https://nhu-le.com/terms.

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada. You irrevocably submit to the personal jurisdiction of such courts.

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

The failure of Comercii to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
